This Working Agreement (Agreement) is made between Zhillano (Platform) and the freelancer, creator, or service provider (Contributor) who wishes to offer their services or products on the Platform. By registering and using the Platform, the Contributor agrees to adhere to the terms set forth in this Agreement.

1. DEFINITIONS

  – Platform refers to Zhillano, an online platform that connects freelancers, creators, and service providers with clients.
  – Contributor refers to any individual or entity who registers on the Platform to offer products, services, or content.
  – Clients refers to users who access and purchase services or products from Contributors via the Platform.

2. ELIGIBILITY AND ACCOUNT REGISTRATION

  – Eligibility: The Contributor must be at least 18 years old and legally capable of entering into this Agreement.
  – Account Registration: To join the Platform, the Contributor must create an account by providing accurate information (e.g., name, contact details, business information). The Contributor is responsible for keeping this information up-to-date and confidential.

3. SERVICES AND CONTENT PROVIDED

  – Services and Products: The Contributor will offer services or products as listed on their profile or product listing. The services/products must comply with local laws and the Platform’s standards.
  – Content Ownership: The Contributor retains full ownership of their intellectual property. However, by using the Platform, the Contributor grants the Platform a non-exclusive license to display and promote their content on the Platform.
  – Quality Assurance: The Contributor must ensure that their services or products meet the quality standards established by the Platform.

4. COMPENSATION AND PAYMENT

  – Payment Processing: Payments for services or products will be processed via the Platform. The Contributor will receive compensation according to the agreed-upon terms for each service or product offered.
  – Fees: The Platform may charge a service fee for each transaction made through the Platform. The specific fee structure will be disclosed during account registration and may vary based on the type of service/product provided.
  – Payment Schedule: Payments will be made on a schedule agreed upon by the Platform and the Contributor (e.g., weekly, bi-weekly, or monthly). Payments will be transferred to the Contributor’s account following the Platform’s payment cycle.

5. INTELLECTUAL PROPERTY RIGHTS

  – Content Ownership: The Contributor retains ownership of all intellectual property they create. By posting content on the Platform, the Contributor grants the Platform a non-exclusive, royalty-free license to display, distribute, and promote their content on the Platform.
  – Copyright Compliance: The Contributor must ensure that the content provided does not infringe upon any third-party rights, including copyrights, trademarks, or other intellectual property. The Contributor is responsible for any legal claims arising from their content.

6. OBLIGATIONS AND CONDUCT

  – Professionalism: The Contributor agrees to maintain a professional demeanor, deliver services/products on time, and engage with Clients respectfully.
  – Prohibited Activities: The Contributor agrees not to engage in illegal or unethical behavior, such as fraud, harassment, or discrimination. Any such activity can lead to termination from the Platform.
  – Non-Compete: The Contributor agrees not to offer services or products on competing platforms during the term of this Agreement if the services or products are in direct competition with the Platform.

7. TERMINATION AND SUSPENSION

  – Termination by Contributor: The Contributor can deactivate their account at any time, with all outstanding payments being processed in accordance with the Platform’s payment cycle.
  – Termination by Platform: The Platform reserves the right to suspend or terminate a Contributor’s account for violations of this Agreement, failure to comply with applicable laws, or non-delivery of services/products.
  – Effects of Termination: Upon termination, the Contributor will lose access to the Platform and any associated benefits. Any pending payments will be processed, and intellectual property rights will be handled according to the terms of this Agreement.

8. CONFIDENTIALITY AND DATA PROTECTION

  – Confidential Information: Both parties agree to maintain confidentiality of any proprietary or sensitive information shared during the course of this Agreement.
  – Data Protection: The Platform will comply with all applicable data protection laws to protect personal information provided by the Contributor. The Contributor agrees to the Platform’s Privacy Policy.

9. DISPUTE RESOLUTION

  – Arbitration: Any disputes arising under this Agreement shall be resolved through binding arbitration, which will be held in the jurisdiction where the Platform is based.
  – Jurisdiction: This Agreement shall be governed by the laws of the jurisdiction where the Platform is registered, and all legal proceedings will occur in that jurisdiction.

10. INDEMNIFICATION AND LIABILITY

  – Indemnification: The Contributor agrees to indemnify and hold the Platform harmless from any claims, damages, or losses arising out of their actions or failure to fulfill their obligations under this Agreement.
  – Limitation of Liability: The Platform’s liability to the Contributor is limited to the total amount paid for services/products provided under this Agreement.

11. MISCELLANEOUS

  – Amendments: The Platform reserves the right to amend this Agreement at any time. The Contributor will be notified of any changes, and continued use of the Platform will indicate acceptance of the new terms.
  – Entire Agreement: This Agreement represents the entire understanding between the parties and supersedes all prior agreements, whether written or oral.
